FRED BLUM - NAPPS - 2014 Bylaw Changes

Fred Blum proposed Article X bylaw amendment. This is brand new addition in spite of Fred Blum's diversion appearing to show deleted language.

Although he is making it appear that there are just deletion it is not so. There was no Article X this is a brand new bylaw. In addition note that he states:

"Section 1. Limitation of Directors’ Liability. No director of NAPPS shall be personally liable for monetary damages as such for any action taken or any failure to take any action unless the director has breached or failed to perform the duties of his or her office under the Arizona Nonprofit Corporations Act; provided, however, that the provisions of this Section 1 shall not apply to the responsibility or liability of a director pursuant to any criminal statute, or to the liability of a director for the payment of taxes pursuant to local, state or federal law."


Indeed! NAPPS bylaws, regardless of what Mr Blum writes, will not override any State or Federal law. So board members should be prepared if you have failed to understand your obligations under law.

As starters let us take a closer look here:

The above highlighted sentence is clear that Mr Blum's direction on the board to follow his rules in the past maybe setting the various boards up as fall guys in the future. He has now so warned you! His partner Mitchell Rubin in Philadelphia may have fallen to that same fate.
